1. Introduction

These Terms and Conditions (“Terms”) govern your subscription to and use of the digital automation and CRM services provided by Prend (“Provider”) for real estate agents, brokers, and affiliated professionals in the Philippines (“Client”).
By subscribing, paying for, or using the service, you agree to be bound by these Terms in full.


2. Description of Services

Prend provides digital tools and automation systems designed to help real estate professionals manage and grow their business.
The service includes:

A pre-built snapshot system (a ready-made setup with workflows, pipelines, templates, and automations) which will be optimized using your own business information.

Modules and training guides to help you understand and use the platform effectively — covering lead capture, pipelines, automations, landing pages, scheduling, and reporting.

Depending on your chosen plan, services may include a Luxury Package, which offers access to a complimentary group chat with Prend staff available to answer questions and provide guidance (note: this is complimentary support, not a premium perk or full campaign management).

“Consumables” — items such as email credits, SMS credits, or phone call minutes that have additional costs when used.

The scope of service is limited only to what was explained during the official presentation, webinar, or written agreement. Any other features or customizations require a separate agreement and may incur extra fees.


3. Payment Terms

All payments made to Prend are strictly non-refundable, regardless of usage, cancellation, or business results. The payment method is through auto debit payment.

Once payment is confirmed, it is considered a final commitment to the chosen package.

The Client will be charged an initial consumable fee of USD $10, which covers starting credits for emails, text messages, and other platform-based communication tools.

Any additional usage or consumables beyond the included amount will be billed separately.

Failure to settle any due payment or initiating a chargeback will result in immediate suspension or termination of access.


4. Consumables

“Consumables” refer to features that use credit-based systems within the platform. Examples include (but are not limited to):

SMS and Voice Call Credits (for text messages, OTPs, or phone communication)

Email Credits (for marketing campaigns or automated sequences)

Premium Add-ons or Integrations (e.g., AI tools, extra sub-accounts, or third-party integrations)
These consumables have separate costs and will be billed to the Client accordingly.


5. Service Limitations

Prend provides the tools and system, but it is the Client’s responsibility to use them properly.

Prend does not guarantee the number of leads, sales, or income results.

The Provider’s responsibility is limited to keeping the system accessible and functional, within the agreed-upon package.


6. Client Responsibilities

The Client agrees to:

Use the platform in compliance with Philippine laws and real estate marketing regulations.

Avoid sending spam, false, or misleading advertisements.

Keep login credentials secure.

Provide accurate business information.

Regularly back up data and follow the provided modules and guides.


7. No Guarantee Clause

Prend provides tools and support but does not guarantee business results.
Success depends on the Client’s effort, content quality, and marketing strategy.


8. Support Policy

Basic technical support includes account setup, snapshot installation, optimization, and guide access.

The Luxury Package includes a complimentary group chat with Prend staff available to assist with questions. This group chat is free of charge but is considered an added courtesy, not a paid perk.

Support does not include campaign creation, marketing management, or business consulting unless explicitly included in your plan.

For consumables, integrations, or advanced requests, additional fees may apply.


9. Termination of Service

Either party may terminate the service with written notice.

All payments made are non-refundable even after termination.

Access to the platform and all tools will end immediately upon termination.

Unpaid balances, including consumables, remain due and payable.


10. Dispute Resolution

Both parties agree to first seek amicable settlement or mediation for any disputes.

If unresolved, the matter will be settled under the laws of the Republic of the Philippines.


11. Limitation of Liability

Prend shall not be liable for any indirect, incidental, or consequential damages, including data loss, revenue loss, or business interruption.
All services are provided “as is” and without warranties of any kind.


12. Modifications to the Terms

Prend reserves the right to update or revise these Terms at any time.
Notice of significant updates will be sent through official channels. Continued use of the service constitutes acceptance of the updated Terms.


13. Governing Law

These Terms shall be governed by and interpreted according to the laws of the Republic of the Philippines.
